Announcement Regarding the Execution of a Share Purchase Agreement for the Acquisition of KYOWA PHARMA CHEMICAL CO., LTD. as a Wholly Owned Subsidiary

Tokyo, July 15, 2026 - Dai Nippon Printing Co., Ltd. (DNP) has entered into a share purchase agreement for the purpose of making KYOWA PHARMA CHEMICAL CO., LTD. (KYOWA PHARMA) a subsidiary of DNP. KYOWA PHARMA is engaged in active pharmaceutical ingredients manufacturing and related businesses. DNP entered into the agreement with KYOWA HAKKO BIO CO., LTD., the shareholder of KYOWA PHARMA, and Kirin Holdings Company, Limited, the parent company of KYOWA HAKKO BIO. DNP plans to acquire 100% of the shares of KYOWA PHARMA in October 2026 and make it a wholly owned subsidiary (subject to the completion of procedures stipulated under the Antimonopoly Act).

Following DNP's acquisition of KYOWA PHARMA's shares, KYOWA PHARMA is expected to be renamed DNP Pharma Chemical.

Background and Share Acquisition Objective

In the pharmaceutical industry, demand is increasing for Contract Development and Manufacturing Organizations (CDMOs), which undertake integrated development and manufacturing from active pharmaceutical ingredients (APIs)1 to drug formulations2, against the backdrop of efforts to ensure a stable supply of pharmaceuticals and the increasing sophistication of drug discovery.

The DNP Group leverages precision organic synthesis technologies developed from its roots in printing technology to operate an API business, while expanding its medical and healthcare business, which covers activities ranging from drug discovery support to pharmaceutical manufacturing.

Group company DNP Fine Chemicals Utsunomiya Co., Ltd. manufactures APIs for generic pharmaceuticals, while CMIC CMO Co., Ltd. is engaged in the development and manufacturing of pharmaceutical formulations.

KYOWA PHARMA possesses advanced organic synthesis technologies and manufacturing facilities, while meeting the latest standards required by regulatory authorities, as well as maintaining personnel and technologies with specialized expertise. Focused on API production centered on organic synthesis technologies, the company also manufactures APIs for new pharmaceuticals such as tranexamic acid and prostaglandins.

Through this share acquisition, DNP will combine DNP Group research and development capabilities, development and manufacturing infrastructure for APIs, formulations, and packaging with the advanced APIs development and manufacturing technologies of KYOWA PHARMA, aiming to establish a CDMO capable of providing one-stop services from APIs to formulations and packaging. By fostering collaboration across each process from the early stages of development, DNP will contribute to streamlining pharmaceutical companies' drug discovery processes, shortening development periods, and strengthening stable supply systems.
